Terms of Service - Effective October 21, 2025

These Terms of Service ("Terms") govern your access to and use of Off The Pump's website, services, and any related applications. By using our site or engaging our services, you accept these Terms in full.

1. Agreement

These Terms form a binding agreement between you ("Client," "you," or "your") and Off The Pump ("Company," "we," or "us"). If you are entering into a paid service engagement, the specific scope, deliverables, and fees will be defined in a separate Statement of Work or Service Agreement which will govern over these Terms where conflicts arise.

2. Services

Off The Pump provides biodiesel formulation, testing, fleet transition planning, and sustainability auditing services. Service descriptions are provided on our website and in proposals. All services are delivered with commercially reasonable skill and care.

  • Proposals and Statements of Work will specify deliverables, timelines, and acceptance criteria.
  • Third-party testing and laboratory work may be subcontracted and will comply with applicable standards.

3. User Conduct

Users must not misuse the website or services. Prohibited conduct includes:

  1. Attempting to access accounts or systems without authorization.
  2. Interfering with the website's operation, or introducing malicious software.
  3. Using services for unlawful or harmful purposes, including misrepresenting testing results.

We reserve the right to suspend or terminate accounts for violations of these rules.

4. Fees and Payments

Fees for services are stated in proposals or service agreements. Payment terms are specified in invoices. Unless otherwise stated, fees are due within 30 days of invoice. Late payments may incur interest charges and suspension of services.

5. Intellectual Property

All intellectual property rights in materials created by Off The Pump remain our property unless otherwise assigned in a written agreement. Clients receive a license to use deliverables for their intended operational purposes. Reuse, resale, or public distribution requires written permission.

6. Confidentiality

Both parties agree to protect confidential information disclosed during the engagement. Confidential information excludes material that is already public, independently developed, or required to be disclosed by law.

7. Warranties and Disclaimers

We warrant that services will be provided with reasonable care and skill. Except as expressly stated, services are provided "as is." We do not warrant uninterrupted access, and make no guarantees about specific emissions reductions or regulatory outcomes - results depend on operational variables beyond our control.

8. Limitation of Liability

To the maximum extent permitted by law, Off The Pump's liability for direct damages arising from services is limited to the total fees paid for the specific service that gave rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits or loss of business opportunity.

9. Indemnification

You agree to indemnify and hold Off The Pump harmless from third-party claims arising from your misuse of services, inaccurate information you provide, or your breach of these Terms.

10. Disputes and Governing Law

These Terms are governed by the laws of the jurisdiction specified in the service agreement or, absent such specification, by the courts governing Off The Pump's primary place of business. Parties will attempt to resolve disputes in good faith through negotiation before pursuing litigation. If required, disputes will be resolved in the appropriate courts of the agreed jurisdiction.

11. Changes to Terms

We may modify these Terms occasionally. Material changes will be posted on our website with an updated effective date. Continued use of services after notice constitutes acceptance of the updated Terms.

12. Termination

Either party may terminate a service agreement in accordance with the termination clauses specified in the applicable Statement of Work. Upon termination, outstanding fees for work performed become due, and we will return or destroy confidential information as requested.
